비밀유지계약(NDA)의 쌍무계약, 편무계약 정의와 표기 방법

비밀유지계약은 영어로 Confidentiality Agreement(CA), Non-Disclosure Agreement(NDA) 또는 Secrecy Agreement라고 합니다. 이는 정보를 제공하는 당사자를 정보제공자(Disclosing Party)와 정보를 수령하는 정보수령자(Receiving Party) 사이에서 해당 비밀 정도를 계약상 합의된 범위에서 벗어나 (정보)를 사용하거나 (정보)를 공개하는 것을 금지하는 내용의 계약입니다.

 

물론 계약 체결 협상 전이나 초기단계에서 계약과 별도로 비밀유지계약을 체결하는 경우가 많습니다. 비밀유지 계약은 내용이 간단하고 정형화되어 있어, 비밀유지계약의 중요한 점은 비밀정보의 정의, 비밀준수의무 기간과 범위가 있습니다.

 

 

비밀유지계약의 종류 (쌍무계약/ 편무 계약)

 

쌍무계약 Mutual NDA

비밀유지계약에서 쌍무계약(Mutual NDA)은 양 당사자가 서로 비밀정보를 교환하게 될 경우에 사용하게 되며,

 

편무 계약 Unilateral NDA

편무 계약으로 진행되는 경우는 양 당사자 중 일방만이 정보를 제공하게 될 경우에 사용합니다.

 

-비밀유지계약에서 정보수령자의 입장에서 상대방으로부터 본인이 제공받을 정보 중 비밀정보는 없고 다만 정보제공자의 입장에서 상대방이 본인의 비밀정보를 제공받게 되는 경우라고 판단되는 경우에는 쌍무계약보다는 상대방에게만 비밀준수의무를 부담하게 하는 편무 계약의 형식을 택하는 것이 타당할 것입니다.

 

 

쌍무계약 MUTUAL NDA 예문

 

THIS CONFIDENTALITY AND NON-DISCLOSURE AGREEMENT (the "Agreement") is made this day of 1st. JAN. 2021 (the "Effective Date") by the between ABC, a corporation, and XYZ, a corporation, (collectively, the "Party" and each individually a "Party")

The Parties are exploring the possibility of engaging in one or more mutually beneficial business relationships (collectively, the "Business Relationship").

The Parties recognize that is the course of their discussion to further the Business Relationship, it will be necessary for each Party to disclose to the other certain Confidential Information (as defined below).

편무 계약 Unilateral NDA 예문

THIS CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT (this "Agreement") is made and entered into as of the Effective Date of Agreement set forth above by and between ABC Corporation and DEF Corporation (the "Recipient")

 

쌍무계약에서와 달리 편무 계약인 비밀유지계약에서는 계약 당사자 중 일방은 정보공개자로, 상대방은 정보수령자로 계약서 서문에 명시합니다.

 

 

비밀정보 정의

Definition

 

When used in this Agreement the term "Confidential Information" means confidential and proprietary information diclosed by one party ("Disclosing Party") to the other ("Receiving Party") that (i) prior to disclosure, is marked with a legend indicating its confidential status or (ii) is disclosed orally or visually, if the Disclosing Party identifies such information as confidential at the time of disclosure and, within 30 days of such disclosure, delivers to the Receiving Party's Primary Contract a notice summarizing the confidential information disclosed,

 

이 계약에서 "비밀정보"라 함은 일방 당사자가 ("정보제공자") 타방 당사자 ("정보수령자")에게 제공한 비밀의 제공자 소유의 정보로 (i) 제공 전에 해당 정보의 기밀성이 명백히 표시된 (서면) 정보 혹은 (ii) 구두나 양상으로 제공된 경우, 정보제공자가 해당 정보의 공개 당시에 본 정보가 비밀에 속한다고 알리고 제공 후 30일 이내에 정보수령자의 담당자에게 제공된 비밀정보를 요약하는 통지를 보낸 경우를 의미한다.
